1. Overview

Actyllio is an automation engineering consultancy specializing in AI-driven workflows and data modernization. These Terms apply to all visitors and users of our digital presence and services.

2. Services

We provide bespoke technical solutions, including but not limited to API development, legacy system integration, and the Actyllio Flow automation suite. Every project is governed by a specific Statement of Work (SOW) which supersedes these general terms regarding scope, timeline, and deliverables.

3. User Responsibilities

Users agree to provide accurate data necessary for system integration and to use Actyllio’s tools only for lawful business purposes. You are responsible for maintaining the security of any API keys or dashboard credentials provided during an engagement.

4. Intellectual Property

All original code, frameworks, and software (including the Signal Deck SDK and Actyllio Flow engine) are the exclusive property of Actyllio. Clients are granted a usage license as defined in their specific SOW, but core proprietary architectures remains the property of Actyllio.

5. Payments

Engagement fees are outlined in advance via formal quotes. Invoices are due upon receipt. As we provide specialized engineering services, late payments may incur a standard 1.5% monthly interest fee to account for resource allocation.

6. Data Privacy & Confidentiality

We take your privacy and confidentiality seriously. Any business or personal information shared with Actyllio will be kept confidential and will not be disclosed to third parties without your consent, except as required by law. We prioritize the integrity of your proprietary data. We do not use client-specific data to train public AI models.

7. Termination

Either party may terminate a service agreement by providing written notice. If you terminate the agreement, you will be responsible for any costs incurred up to the date of termination. Actyllio reserves the right to terminate your access to our services if you violate these Terms.

8. Limitation of Liability

Actyllio provides high-performance technical solutions but is not liable for indirect or consequential damages arising from system use. Our total liability is limited to the amount paid for the specific service provided.

9. Governing Law

These Terms are governed by the laws of the State of Washington. Any disputes will be resolved in the courts of King County, WA.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after any changes constitutes your acceptance of the new Terms.
